Welcome to HaoAI. These Terms of Service govern your access to and use of the HaoAI website, console, APIs, documentation, payments, support, and related services. The services are provided by WILLWAY INTERNATIONAL LIMITED. By registering, accessing, or continuing to use the services, you agree to these Terms. Please read these Terms carefully, especially the sections on account security, prohibited conduct, payments and refunds, suspension, disclaimers, limitation of liability, indemnity, and dispute resolution. Section headings are for convenience only and do not affect interpretation. If you do not agree to any part of these Terms, you should not register for or use the services.
1. Definitions
1.1"HaoAI" means the HaoAI platform, with its official website at hao.ai. In these Terms, we may refer to it as "HaoAI" or the "HaoAI platform."
1.2"HaoAI platform rules" means all rules, guidelines, descriptions, processes, interpretations, announcements, notices, pricing descriptions, API descriptions, and security requirements published or later updated on the HaoAI website, console, API documentation, or other official entry points.
1.3"Privacy Policy" means the Privacy Policy published or later updated by HaoAI.
1.4"HaoAI services" means the HaoAI unified AI API gateway platform, including the website, console, APIs, SDKs, documentation, model catalog, API key management, usage analytics, request logs, wallet, payments, and related tools provided through hao.ai, hao.ai/docs, api.hao.ai, and other official entry points displayed in the console. API Base URLs, model identifiers, request formats, pricing descriptions, and feature limits are determined by the console, API documentation, and page notices shown at the time.
1.5"User" means any individual, company, organization, or authorized person that accesses or uses the services. "API Key" means an access credential used to call the services. "Credits" means account value that may be used to pay for service usage.
1.6"Upstream providers" means third-party model providers, compute providers, infrastructure providers, payment processors, cloud services, or other service providers connected to or used by HaoAI.
1.7"Team" or "organization" means a workspace created or joined in HaoAI. Team member actions, budgets, permissions, and API key usage may affect team balance, bills, request logs, and security state.
1.8"Referral, invitation, reward, or campaign benefits" means referral codes, invitation links, promotional credits, commissions, discounts, reward balances, or other benefits that HaoAI may provide to eligible users under page rules, console prompts, or separate campaign terms.
2. Scope of Terms
2.1These Terms, together with the Privacy Policy, website notices, console prompts, pricing descriptions, API documentation, and other platform rules, govern your use of the services.
2.2Additional rules may apply to particular features, promotions, or pages. If those rules conflict with these Terms, the additional rules control for that specific subject.
2.3We may update these Terms to reflect service changes, compliance requirements, upstream provider rules, or business changes. Continued use after an update means you accept the updated Terms.
2.4If any part of these Terms is held invalid, unlawful, or unenforceable under applicable law, the remaining provisions continue to apply. Our failure to immediately enforce a right does not waive that right.
2.5Unless expressly confirmed by us in writing, support replies, page examples, technical documentation, marketing descriptions, screenshots, or informal communications do not create additional commitments about pricing, availability, refunds, referrals, model capabilities, or legal liability.
3. Account Registration and Use
3.1You must create or sign in to an account through Google sign-in, email verification code, or another authentication method we support, and provide accurate, complete, and current information before using the console, topping up, creating API keys, or calling the API.
3.2You are responsible for safeguarding your account credentials and API keys. Requests, charges, configuration changes, and other activity made through your account or API keys are treated as authorized by you.
3.3If you sign in with Google, we use basic account information returned by Google only for authentication, account creation, sign-in binding, and account security, as described in the Privacy Policy.
3.4You may not share, sell, rent, transfer, or allow unauthorized third parties to use your account or API keys. If credentials are exposed or unusual activity occurs, you should rotate keys and contact us promptly.
3.5You should avoid exposing API keys in client-side code, public repositories, public logs, browser extensions, screenshots, third-party support tickets, or untrusted environments. Calls and charges caused by exposed keys, hardcoding, misconfigured permissions, or team-member misuse are your or your team's responsibility unless mandatory law provides otherwise.
3.6You must have the legal capacity and required age to use the services. If you use the services for an organization, you confirm that you are authorized to accept these Terms for that organization.
3.7HaoAI is not directed to individuals under 18. By registering, signing in, topping up, creating API keys, or using the services, you confirm that you are at least 18 and have capacity to enter into and perform these Terms. If we discover that an account was created or used by a minor, or receive a valid notice from a guardian, school, organization, or competent party, we may restrict, suspend, or close the account and handle related information under the Privacy Policy.
3.8You represent that registration information, team information, payment information, contact details, and use-case descriptions are accurate, complete, current, and not misleading. If information is false, expired, impersonated, or unreachable, we may require correction or re-verification, limit features, or suspend services.
3.9You are responsible for managing team members, roles, budgets, API keys, and connected tools. Calls and charges caused by departed members, misconfigured permissions, exposed keys, public repositories, client-side hardcoding, or third-party tool misuse are your or your team's responsibility unless mandatory law provides otherwise.
3.10Team owners and administrators may manage members, roles, budgets, API keys, usage, orders, and team balance. Before joining a team or accepting an invitation, confirm the invitation source, role permissions, and team rules.
3.11Team owners and administrators must ensure they have sufficient authority for invitations, removals, authorizations, budget settings, role changes, and team-profile changes. Requests, charges, disputes, refunds, rewards, or compliance obligations that arose before a member is removed, a role is changed, or a team is dissolved do not automatically disappear because permissions later changed.
3.12If you use the services for a company, team, customer, school, institution, or other organization, you are responsible for internal approval, permissions, budgets, data classification, key rotation, offboarding, and compliance-review processes. HaoAI is not responsible for determining whether your internal personnel are authorized by your organization unless mandatory law provides otherwise.
4. Service Rules
4.1HaoAI provides a unified API gateway that routes user requests to selected or configured upstream model providers. Model capabilities, context windows, response formats, availability, and pricing may change when upstream rules change.
4.2HaoAI may provide OpenAI-compatible, Anthropic-compatible, Gemini-compatible, or other protocol entry points. Compatibility is determined by the official documentation and console display, and does not mean every upstream API, parameter, model, tool, or response format will be identical or continuously available.
4.3We use reasonable efforts to maintain service stability, but we do not guarantee that the services will always be uninterrupted, error-free, latency-free, or suitable for every use case. Maintenance, security controls, upstream changes, network issues, and events outside our control may affect the services.
4.4Unless we enter into an express written SLA, latency, availability, throughput, pricing, model capabilities, context windows, or sample outputs shown on pages, in documentation, or in the console are descriptions at the time shown and do not create ongoing service-level commitments.
4.5To protect platform stability, fair use, and compliance, we may apply rate limits, concurrency limits, balance limits, budgets, risk controls, abuse filters, and other technical protections.
4.6Depending on balance, usage, risk, upstream status, region, payment status, model capacity, abuse risk, or compliance requirements, we may limit, delay, queue, retry, reject, or stop processing some requests.
4.7Insufficient balance, budget limits, risk-control hits, upstream failures, network errors, malformed requests, model removals, payment anomalies, or compliance restrictions may cause requests to fail, be delayed, retried, queued, or rejected. You should design fallbacks, retries, backup models, timeouts, and human review into your own systems.
4.8Some models, APIs, features, prices, payment methods, or regional access may be unavailable, restricted, or changed because of upstream policies, export controls, sanctions, regulation, capacity, commercial arrangements, or compliance requirements. We do not guarantee that all services are lawful, continuously available, or available on the same terms in every country, region, industry, or use case.
4.9Unless you expressly select a specific route in the console or agreement and we confirm it, HaoAI may reasonably select, adjust, or replace request routing, infrastructure, or service providers based on availability, stability, cost, latency, risk controls, compliance, and upstream status.
4.10You are responsible for evaluating the accuracy, completeness, legality, and suitability of model outputs. AI outputs may be inaccurate, incomplete, biased, repetitive, or unsuitable for a particular purpose.
4.11Some features may be in beta, preview, or staged rollout. Beta features may change, pause, be removed, or adopt different billing rules, and we will use reasonable efforts to describe material changes in the console, documentation, or notices.
4.12Upstream providers may have their own terms, use policies, content policies, data-processing rules, and restrictions. Your use of related models must also comply with applicable upstream rules.
5. Prohibited Conduct
5.1You may not use the services for illegal, infringing, fraudulent, abusive, security-threatening, or upstream-policy-violating activity.
5.2Prohibited conduct includes creating or distributing unlawful content, child exploitation material, malware, phishing, fraud, hate or violent mobilization content; processing personal information or trade secrets without authorization; attacking, scanning, load testing, or disrupting the services; evading or breaking quotas, risk controls, authentication, or billing; reselling, sharing, or abusing API keys; impersonation; and building a competing gateway or similar platform without our written permission.
5.3You may not use the services in a way that violates applicable law, sanctions, export controls, data protection rules, intellectual property rights, consumer protection rules, or upstream provider policies, or help others evade those restrictions.
5.4You may not create bulk accounts, inflate usage, manipulate rewards or commissions, abuse campaigns, create sham transactions, maliciously request refunds, exploit chargebacks, use vulnerabilities to obtain improper benefits, or otherwise undermine fair platform use.
5.5You may not use automated scripts, bots, proxy pools, credential stuffing, crawlers, bulk emails, temporary emails, false identities, linked accounts, or other circumvention methods to bypass registration, sign-in, risk controls, limits, pricing, referrals, campaigns, or payment restrictions.
5.6If we believe your use creates legal, security, fraud, abuse, unusual cost, or upstream suspension risk, we may limit calls, suspend accounts, disable keys, freeze credits, remove configurations, or terminate access.
5.7Depending on risk level, we may ask for use-case descriptions, business proof, authorization proof, or other reasonable materials. If you refuse to cooperate, provide inaccurate materials, or the risk cannot be cleared, we may continue restrictions or terminate the relevant services.
6. Payments, Credits, and Refunds
6.1The services are generally billed based on actual usage. Charges may depend on model, input, output, cache, search, image, audio, tool calls, request type, upstream pricing, and pricing rules shown in the console.
6.2HaoAI uses official model billing shapes as the basis for settlement and applies the discount rules displayed on the website or console. Pricing, discounts, currencies, minimum top-ups, promotional benefits, and billing items may change and apply to future usage or orders.
6.3Credits may include topped-up balance, rewards, and promotional credits. Different credit types may have different expiration dates, usage scopes, spending order, and restrictions, as shown in the console.
6.4Unless a page expressly states otherwise, Credits may only be used to pay for HaoAI services and are not bank deposits, electronic money, securities, stored-value cards, trust assets, or cash-out balances. Rewards, promotional credits, commissions, and campaign benefits have no cash value and may not be sold, transferred, pledged, or cashed out through abnormal means.
6.5Referral, invitation, campaign, commission, discount, or promotional benefits are governed by the relevant page, console prompt, or campaign rule. We may delay, cancel, recover, freeze, or manually review rewards, commissions, promotional credits, or campaign benefits that are abnormal, duplicate, false, non-compliant, or at risk of abuse.
6.6Unless required by applicable law or expressly promised by us, completed top-ups, consumed Credits, rewards, and promotional credits are generally not withdrawable, transferable, or refundable. Fraud, abuse, payment disputes, or payment anomalies may result in account or service suspension.
6.7If a user initiates a chargeback, payment dispute, abnormal refund request, or payment reversal, we may freeze related orders, balances, rewards, commissions, and account features during review, and may offset incurred charges, losses, fees, or recoverable amounts against later balances, rewards, or commissions.
6.8Payments may be processed by third-party payment providers. You must comply with payment-provider rules and ensure that payment methods, billing information, and tax information are accurate and valid. Chargebacks, refund disputes, failed payments, payment-channel risk controls, or third-party fees may delay orders, freeze balances, or suspend services.
6.9Unless a page clearly states otherwise and obtains any required consent, top-ups and usage-based billing under these Terms do not mean automatic-renewal subscriptions. If we later offer subscriptions, automatic renewals, or recurring charges, the applicable page will describe pricing, billing period, cancellation method, and rules.
6.10Team balances, team orders, team budgets, and member spending may be managed by team owners or administrators. Calls, charges, and configuration changes made within a team scope may affect team balance and bills.
6.11Unless a page or invoice states otherwise, prices may exclude applicable taxes, bank charges, payment-channel fees, foreign-exchange fees, or other charges required in your location. You are responsible for reporting and paying taxes related to purchasing or using the services unless applicable law requires us to collect or withhold them.
6.12You should review balance, request logs, orders, bills, and budgets in the console. If you believe billing is abnormal, submit the relevant request logs, time range, API key, model, amount, and supporting evidence for review within a reasonable period.
6.13Differences caused by exchange rates, payment channels, taxes, bank fees, third-party fees, upstream price changes, cache billing, or minimum billing units are determined by the console, order records, request logs, and applicable rules taken together.
7. User Content and AI Outputs
7.1You retain any rights you lawfully hold in prompts, context, files, configuration, and other content you submit to the services. You are responsible for ensuring that you have the right to submit and process that content.
7.2Subject to these Terms, applicable law, and upstream provider policies, you may use outputs generated from your inputs. You are responsible for determining whether outputs are appropriate for production, commercial, legal, medical, financial, or other high-risk uses.
7.3You are responsible for submitted content, system prompts, context, tool calls, files, code, business data, and how outputs are used, including providing necessary notices, obtaining required authorizations, and applying appropriate safeguards for relevant individuals or organizations.
7.4You may not submit data you are not authorized to process, unlawful content, infringing content, malware, unauthorized personal information, restricted data, or content that may cause us or an upstream provider to violate legal or contractual obligations.
7.5If you submit or process personal information, sensitive information, children's information, health information, financial information, identity information, trade secrets, export-controlled technical materials, or other restricted data, you must ensure that you have a lawful basis, necessary authorization, sufficient notices, appropriate safeguards, and processing rights that comply with applicable law and upstream rules.
7.6Unless you expressly authorize it, a feature requires it, or law requires it, we do not use your API content to train our own models. To complete requests, troubleshoot, calculate billing, audit security, and prevent abuse, we may process request content, metadata, and outputs as necessary.
7.7Model outputs may be similar or identical to outputs received by other users, and may contain inaccurate, incomplete, outdated, or unsuitable information. You must not treat outputs as legal, medical, financial, tax, investment, engineering, safety, or other professional advice from HaoAI, upstream providers, or any professional.
7.8Upstream providers may apply independent requirements to content, outputs, use cases, retention periods, and safeguards. You should complete your own compliance assessment before using the services for sensitive, regulated, or high-impact use cases.
7.9If you use model outputs in medical, legal, financial, employment, education, insurance, identity, safety, public-service, or other high-impact contexts, you must maintain appropriate human review, risk notices, compliance review, and correction mechanisms.
8. Intellectual Property
8.1The HaoAI website, console, software, interfaces, documentation, trademarks, logos, code, technology, and related materials are owned by us or our licensors. These Terms do not transfer platform intellectual property to you.
8.2Without our prior written permission, you may not copy, modify, distribute, sell, rent, reverse engineer, extract, scrape, or build a competing API gateway, proxy platform, or similar service based on the services.
8.3You may not remove, obscure, or alter copyright, trademark, attribution, license, or security notices in HaoAI, upstream provider materials, open-source projects, or third-party services. Third-party models, SDKs, open-source components, and integration tools may be subject to their own licenses and restrictions.
8.4We may use feedback, suggestions, or issue reports you provide to improve the services without compensation unless otherwise agreed in writing.
9. Privacy and Data Processing
9.1We process personal information, API usage data, and related logs according to the Privacy Policy. The Privacy Policy forms part of these Terms.
9.2To complete requests, calculate billing, apply risk controls, troubleshoot issues, audit usage, and provide support, we may process necessary request metadata, account information, payment information, API content, and model outputs.
9.3The services rely on third-party upstream models, cloud services, payment providers, email providers, security services, and analytics services. We may transmit or disclose relevant data to those providers where necessary to provide the services.
9.4If you submit data on behalf of another person, team, company, or customer, you must ensure that you have sufficient authorization and assume the compliance responsibilities associated with your role as controller, processor, or similar data-handling role.
9.5You are responsible for ensuring that personal information, business data, source code, files, and other content submitted to the services have a lawful source, necessary authorization, and required notices to relevant individuals or organizations.
9.6You may not require us to process data in a way that would cause HaoAI, upstream providers, or other service providers to violate law, contract, sanctions, export controls, data-protection rules, intellectual-property rules, or content policies. We may refuse, restrict, or remove processing based on compliance, upstream requirements, or security risk.
9.7Unless the parties sign a separate data-processing agreement, enterprise agreement, or written addendum, HaoAI provides the standard services under these Terms and the Privacy Policy. You must not assume that we have accepted industry-specific, regional, government-procurement, data-localization, audit, deletion-deadline, subprocessor-preapproval, or dedicated-security requirements.
10. Service Changes, Suspension, and Termination
10.1We may modify, suspend, or discontinue some or all services for maintenance, security, compliance, upstream changes, business changes, force majeure, or other reasonable reasons.
10.2You may stop using the services or contact us to close your account. After closure, you should stop using API keys and retain any data you need before access ends.
10.3If you violate these Terms, remain inactive, have payment anomalies, abuse the services, threaten platform security, or trigger legal or upstream requirements, we may suspend or terminate your account, API keys, or service access.
10.4To protect the platform, other users, payment security, upstream providers, or compliance requirements, we may apply temporary restrictions without prior notice. Where reasonably feasible and not harmful to an investigation, safety, or legal requirement, we will provide an appropriate explanation or appeal path.
10.5Service suspension, termination, or account closure does not automatically remove fees, disputes, indemnity obligations, refund handling, tax obligations, or compliance obligations that already arose. We may retain records needed to handle those matters.
10.6After termination, provisions relating to fees, intellectual property, privacy, disclaimers, limitation of liability, indemnity, dispute resolution, and any provisions that should survive will continue to apply.
11. Disclaimers and Limitation of Liability
11.1The services are provided on an "as is" and "as available" basis. Except where prohibited by law, we disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, accuracy, and security.
11.2We do not guarantee that AI outputs will be accurate, complete, current, unbiased, or suitable for any particular purpose, or that third-party models, networks, payments, or other upstream services will remain available.
11.3To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, business interruption, reputational harm, or replacement service costs.
11.4To the maximum extent permitted by applicable law, our aggregate liability arising from these Terms or the services is limited to the service fees you actually paid to us during the twelve months before the claim.
11.5Nothing in these disclaimers or limitations excludes or limits liability that applicable law does not allow to be excluded or limited, and nothing affects non-waivable rights you may have under mandatory consumer protection, data protection, or other laws.
12. Indemnity
12.1To the extent permitted by applicable law, you agree to indemnify and hold us, our affiliates, employees, directors, suppliers, and partners harmless from claims, losses, liabilities, costs, and expenses arising from your use of the services, submitted content, violation of these Terms, violation of law, infringement of third-party rights, API key abuse, or upstream provider claims caused by your activity.
13. Notices
13.1We may send service, billing, security, compliance, or Terms-related notices through website announcements, console notices, email, in-app messages, or other reasonable means.
13.2You are responsible for keeping your account email and contact information available. Notices sent to the contact information in your account are treated as delivered unless applicable law requires otherwise.
14. Governing Rules and Dispute Resolution
14.1Any dispute arising from these Terms or the services should first be addressed through good-faith negotiation.
14.2If the dispute is not resolved, either party may submit the dispute to a court or dispute-resolution body with proper jurisdiction under applicable law. Mandatory legal rules will prevail where they apply.
14.3If any part of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a right immediately does not waive that right.
14.4These Terms do not limit non-waivable rights you may have under applicable consumer protection, data protection, or other mandatory laws.
